Terms of Service

We are i spy ("we" or "us"), a fashion discovery platform that helps users find and organize outfit ideas, moodboards, and products from selected retailers (the "Platform").

We provide product links, search functionality, and personalized outfit tools (the "Services").

These Terms set out the conditions under which we operate the Platform, grant you a license to use it, and provide Services to you.

You must be at least 16 years old to use i spy.

You agree not to use the site for unlawful, harmful, or fraudulent purposes.

We may suspend or terminate accounts that violate these Terms or misuse the Platform, at our sole discretion.

When creating an account, you agree to provide accurate information and keep it up to date.

You are responsible for maintaining the confidentiality of your login credentials.

Provide you with access to the Platform to the extent required for the Services in line with these Terms.

Provide Services you may be entitled to as part of your use of the Platform with reasonable care and skill.

Reasonably co-operate with you in relation to your use of the Platform and/or our Services.

We do not warrant that your access to and use of the Platform and/or the Services will be uninterrupted or error-free.

We are not responsible for delays, delivery failures, or other loss or damage resulting from data transfer over communications networks and facilities (including the internet). Availability may be subject to limitations, delays, and other problems inherent in such facilities.

Provide details we reasonably request to grant you access to or provide the Services.

Ensure all information you give us is correct and up to date at all times, and notify us immediately of any changes to your contact, billing, and payment details.

Follow our instructions about using the Platform and/or Services and only use them in accordance with applicable laws, rules, and regulations.

Do not share your username, password, or account login details.

You remain responsible and liable for any use (authorised or unauthorised) of the Platform and/or the Services made using your account, including charges and any consequences from misuse or a breach of these Terms.

Do not do or omit to do anything that could damage our goodwill or bring our reputation into disrepute.

Ensure you comply with all applicable law and all our current policies made available to you from time to time, including acceptable use terms and any other standards or policies we publish.

Do not copy, reproduce, publish, broadcast, download, distribute, modify, display, perform, license, transfer, translate, create derivative works from, offer for sale, or use content from the Platform/Services unless permitted by law, with our prior written permission, or where content is intended for further transmission.

Do not circumvent, remove, alter, deactivate, degrade, or manipulate any content in the Platform/Services.

Do not use robots, spiders, scrapers, or other automated means to access the Platform.

Do not decompile, reverse engineer, or disassemble the Platform/Services.

Do not use network monitoring or discovery software to determine site architecture or extract information about usage or users.

Do not insert code or manipulate Platform/Service content.

Do not use data mining, data gathering, or extraction methods.

Do not infringe any third party's rights when using the Platform/Services.

Do not transmit defamatory, offensive, or otherwise objectionable material. We may reject, modify, or delete such material.

Do not upload, post, email, or transmit material designed to interrupt, destroy, or limit functionality of any software, hardware, or telecom equipment (including viruses or malicious code).

Do not obtain, retain, use, or provide access to the Services to any person or entity in a manner that may breach applicable export control or economic sanctions laws (including those of the UK, US, and EU). "Control" means ownership of more than 50% of voting rights/issued share capital, the right to appoint more than 50% of the management board (or similar), or the power to direct management.

You are responsible for all information technology, devices, and third-party services needed to access and use the Platform/Services (including your internet service and tools like Slack), as well as any related obligations or charges (e.g., broadband or mobile data costs).

i spy may contain links to third-party retailers through affiliate programs.

We may earn a commission when you click or purchase through those links, but i spy does not sell or ship products directly.

We are not responsible for the content, pricing, or policies of external websites.

"Intellectual Property Rights" include patents, utility models, rights to inventions, copyright and related rights, trademarks and service marks, trade names, domain names, goodwill, design rights, software rights, database rights, rights to preserve confidentiality of information (including know-how and trade secrets), and similar rights (including applications, renewals, extensions, and priority rights) worldwide.

All Intellectual Property Rights in the Platform and/or Services (including materials we provide) belong to i spy or relevant third-party owners. You have no rights in them other than to use them in accordance with these Terms.

You will not act inconsistently with i spy's ownership of its Intellectual Property Rights, will not challenge our ownership or use, and will not attempt to register any of our rights or confusingly similar marks.

You hold rights in material you make available to us. When you do so, you grant us a non-exclusive, royalty-free, fully paid-up, perpetual, worldwide, revocable license to use and reproduce that material to operate the Platform, provide Services, deliver outcomes or content to you, and improve the Platform/Services.

Feedback you provide concerning business/technology direction or possible creation or improvement of our software or products grants us a non-exclusive, perpetual, worldwide, transferable, royalty-free license (with rights to sublicense) to use, publish, disclose, perform, copy, make, modify, create derivative works, distribute, sell, or otherwise benefit from the Feedback in any manner and media.

Your data may be used as input for AI functionality in the Services ("Input") resulting in output generated by the Platform ("Output"). i spy retains all rights to its property embedded in or included with any Output (including derivatives or modifications). You warrant your Inputs do not and will not violate third-party rights (including publicity, copyright, patent, or other Intellectual Property or proprietary rights).

You acknowledge you may receive Output similar or identical to output generated for other users.

You may not copy, reproduce, or redistribute i spy content without our prior written consent.

Using the Platform, you may upload outfit photos and create moodboards that include your own photos and products shown by i spy ("User Content").

You retain full ownership of your uploaded photos and moodboards. By uploading or creating User Content, you grant i spy a non-exclusive, worldwide, royalty-free licence to host, store, display, and process such content solely to operate and improve the Platform (including visual search and outfit discovery features).

Moodboards you create may be private (visible only to you) or public.

Public moodboards may appear in search or discovery sections.

Other users can view, but not save or download, your uploaded photos.

Screenshots or recordings made outside the Platform are beyond our control.

Products shown by i spy remain the property of their respective owners and may be saved or shared by users according to Platform functionality.

You confirm photos you upload are your own or you have permission to use them and that they do not infringe any third party's rights.

You may delete uploaded content or your account at any time; the content will be removed from public view within a reasonable period (subject to lawful backups and technical retention for security or compliance).

i spy is provided on an "as is" and "as available" basis.

We do not guarantee that the Platform will be uninterrupted or error-free.

To the fullest extent permitted by law, i spy is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

The limitations and exclusions above apply to the fullest extent permissible at law, but we do not exclude liability for:

• Death or personal injury caused by our negligence (or that of our officers, employees, contractors, or agents).
• Fraud or fraudulent misrepresentation.
• Any liability that may not be excluded by law.

Except as expressly provided in these Terms, we are not responsible for the availability or reliability of the Platform/Services or for outcomes meeting your needs. Outcomes or content provided are for general information only and may be generated automatically based on available data; they are not intended to meet individual, specific, or professional requirements.

Although we make reasonable efforts to monitor and improve Platform efficiency and accuracy, we give no warranties (express or implied) that outcomes or content you receive are accurate, complete, or up to date.

We have no responsibility or liability for the accuracy, deletion, failure to store, transmit, or receive transmission of any content provided by a customer to us.

Nothing in these Terms excludes the liability of the Customer for any breach, infringement, or misappropriation of i spy's Intellectual Property Rights.

Links to other websites or resources provided by third parties are for information only and should not be interpreted as approval. We have no control over the contents of those sites or resources.

We process personal data (including any personal data within User Content) in accordance with our Privacy Policy and applicable data-protection laws, including the UK GDPR and EU GDPR. By using the Platform, you acknowledge that your personal data may be processed as described in our Privacy Policy.

We may update these Terms from time to time and will notify you in writing (including by email), except for updates that are immaterial, relate to new features, or are required by law. Continued use of i spy means you accept any updated version.

If there is a conflict or ambiguity between: (i) these Terms; (ii) the Privacy Policy; and (iii) the Cookie Notice; a provision in a document higher in this list numerically takes precedence over one lower in the list.

You shall indemnify us, our officers, directors, employees, agents, and consultants (the "Indemnified party") against all liabilities, costs, expenses, damages, and losses (including interest, penalties, reasonable legal costs, and other professional costs) directly connected with your use of the Platform/Services and any breach of these Terms by you and/or your users, except where such claims arise from: (i) our bad faith, fraud, gross negligence, or wilful misconduct; or (ii) our failure to comply with our obligations regarding the Platform/Services. Your obligation to indemnify is conditional on us or the Indemnified Party: (i) promptly notifying you in writing of the claim; (ii) supplying reasonably requested information; and (iii) allowing you to control the claim (provided you indemnify us or the Indemnified Party in advance).
